Terms of Service

By accessing or using RunCLI (runcli.ai), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website. Your continued use of RunCLI after changes are posted constitutes acceptance.

You must be at least 13 years old to use RunCLI. If you are under 18, you must have parental or guardian consent. By using our services, you represent that you meet these requirements.

You can use some RunCLI tools without an account. To access full features and credits, you must sign in with a Google account.

You are responsible for maintaining the security of your account. You must not share your account credentials or allow others to access your account. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

RunCLI provides AI-powered online tools accessible via web browser and API. Our tools include transcription, real-time translation, AI summarization, OCR (image to text), background removal, YouTube transcript and summary extraction, audio download, and PDF processing.

We may add, modify, or discontinue tools at any time. We will make reasonable efforts to notify users of significant changes.

Free credits: New users receive a one-time allocation of free credits distributed across tools upon signup. Free credits are non-transferable and allocated per tool.

Subscription plans: We offer Pro ($20/month, 2,500 credits) and Max ($100/month, 15,000 credits) subscription plans. Subscription credits are shared across all tools and refresh at the start of each billing cycle. Unused subscription credits do not roll over.

Credits: Subscription credits reset each billing cycle. Unused credits do not carry over.

Billing: All payments are processed by Stripe. Subscriptions automatically renew unless cancelled. You can cancel at any time through the Stripe Customer Portal; cancellation takes effect at the end of the current billing period.

Refunds: Credits are non-refundable. Subscription fees are non-refundable for the current billing period. If you experience a service issue, contact us and we will work with you to resolve it.

Failed jobs: If a tool fails to produce a result due to a system error, no credits are deducted.

Price changes: We may change pricing with 30 days' notice. Existing subscriptions are honored at their current price until the next renewal.

Your ownership: You retain all rights to the content you upload or input into RunCLI (text, audio, images, files). We do not claim any ownership over your content.

License to us: By using our tools, you grant us a limited, non-exclusive license to process your content solely for the purpose of delivering the service you requested (e.g., transcribing your audio, summarizing your text). This license terminates when your content is deleted from our servers.

Output ownership: You own the output generated by our tools (transcripts, summaries, processed images, etc.). You may use output for any lawful purpose, including commercial use.

No training: We do not use your content to train, fine-tune, or improve AI models. See our Privacy Policy for details.

RunCLI uses artificial intelligence to process your content. AI-generated output may contain errors, inaccuracies, or omissions. Specifically:

• Transcriptions may contain mistakes, especially with accents, background noise, or technical terminology.
• Translations are machine-generated and may not capture nuance, idioms, or context perfectly.
• Summaries may omit important details or misrepresent the source material.
• OCR results may contain errors, especially with handwritten or low-quality images.

You are solely responsible for reviewing and verifying AI-generated output before relying on it for any purpose. Do not use RunCLI output as the sole basis for legal, medical, financial, or safety-critical decisions.

You agree not to:

• Use RunCLI for any illegal purpose or to process illegal content
• Upload malicious files, viruses, or harmful code
• Attempt to circumvent usage limits, rate limits, or billing
• Reverse engineer, decompile, or attempt to extract the source code of our tools
• Use automated scripts or bots to access the service in a way that exceeds reasonable use
• Resell or redistribute RunCLI services without our written permission
• Use our tools to generate content that infringes on the intellectual property rights of others
• Upload content that is defamatory, harassing, or violates the rights of any third party

We reserve the right to suspend or terminate your account if you violate these terms.

RunCLI, including its design, code, branding, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of our service without written permission.

The RunCLI name, logo, and the pipe symbol “|” are our trademarks. You may not use them without our prior written consent.

RunCLI is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The service will be uninterrupted, error-free, or secure
• Results will be accurate, complete, or reliable
• Any specific tool or feature will remain available

To the maximum extent permitted by law, RunCLI and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising from your use of RunCLI is limited to the amount you have paid us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless RunCLI, its operators, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the service
• Content you upload or process through our tools
• Your violation of these Terms
• Your violation of any third-party rights

By you: You can stop using RunCLI at any time. You can cancel your subscription through the Stripe Customer Portal. You can request account deletion by emailing [email protected].

By us: We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if required by law. We will make reasonable efforts to notify you before termination, except in cases of fraud or legal obligation.

Upon termination, your right to use the service ceases. Any remaining credits are forfeited. Sections that by their nature should survive termination (IP, liability, indemnification) will survive.

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of RunCLI shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved in the state or federal courts located in San Francisco, California.

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RunCLI.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.

No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to any successor entity.
